Thally for Programs Research Preview Agreement

Thank you for agreeing to participate in the Thally for Programs Research Preview. This Thally for Programs Research Preview Agreement (the “Research Agreement”) is a legal contract between you and SJ Medconnect, Inc., d/b/a Thalamus (“Thalamus” or “we” or “us” or “our”). Your access and use of Thally for Programs as part of the Thally for Programs Research Preview is governed by this Research Agreement, Thalamus’s Terms of Service here: https://www.thalamusgme.com/terms-of-services (the “Terms of Service”), and Thalamus’s Privacy Policy here: https://www.thalamusgme.com/privacy-policy (the “Privacy Policy” and, collectively with this Research Agreement and the Terms of Service, the “Agreement”), which are hereby incorporated by reference. Capitalized terms used in this Research Agreement but not defined herein shall have the meanings ascribed in the Terms of Service. In the event of conflict, the order of precedence is as follows: (i) this Research Agreement, (ii) the Terms of Service, and (iii) the Privacy Policy.

1. Research Preview Overview

Thalamus is introducing Thally for Programs as a Research Preview to a limited number of residency and fellowship programs (“Program” or “Programs”) in select specialties on an opt-in, complimentary, evaluation-only basis only after such Program has completed review of their applications and sent out interview invitations. Programs that participate in this Research Preview can access and use Thally for Programs to compare the outcomes of its existing, completed review process against what the results may have been using Thally for Programs. Participating Programs shall not, and agree not to, use Thally to compile or create live applicant interview lists or rank order lists, or as a basis to decide whether to interview, rank, or otherwise make any recruitment decision regarding any actual applicant for the 2027 ERAS application season.

Participation in the Research Preview does not require a Program or specialty organization to conduct or publish independent research. Thalamus may, however, collaborate with participating specialty organizations, programs, or other partners or third parties on more formal research initiatives involving Thally for Programs, including peer-reviewed research, which will be subject to a separate agreement. Programs are requested (but not required) to complete the post-season survey and to flag any significant unexpected behavior in Thally for Programs through Thalamus's feedback mechanism.

2. Access During Research Preview

Programs that enroll in the Research Preview for Thally for Programs will receive access to Thally for Programs for the duration of the Research Preview, which will end no later than the conclusion of the 2027 ERAS application season unless earlier terminated in accordance with the Term, Termination, and Survival section below, and subject to such Programs’ compliance with the terms of the Agreement and any withdrawal or suspension, revocation, or termination as further detailed below. Program acknowledges and agrees that Thally for Programs constitutes a Research Preview under the Terms of Service and is deemed to be a part of the Services (as defined in the Terms of Service). During the Research Preview, you may provide Thalamus with Content (as defined in the Terms of Service) and Feedback (as defined in the Terms of Service) and you acknowledge and agree that Thalamus may use such Content and Feedback as permitted in the Agreement, including without limitation Section 11 of the Terms of Service.

Programs may withdraw from the Research Preview at any time by providing written notice to Thalamus at ai.collaboration@thalamusgme.com and, following receipt of such written notice, Thalamus will revoke such Programs’ access to Thally for Programs. Additionally, Thalamus may, in Thalamus’s sole discretion, withdraw a Program from the Thally for Programs Research Preview or suspend, limit, or revoke a Program’s access to Thally for Programs for any reason, or no reason at all, at any time.

Programs’ access to Thally for Programs during this limited-access period is provided directly by Thalamus and is separate from Programs’ access to other Services provided to Program under a separate agreement, including without limitation Cortex.

Thally for Programs will be provided to participating Programs in its then-current state of development at the time access is made available during the Thally for Programs Research Preview. Thalamus may, in its sole discretion, add, remove, refine, improve, or update features, functionality, and the user experience during the Research Preview. The underlying production models will not automatically retrain or change based on a Program’s use or behavior during the Research Preview. Any material changes to production models will be subject to Thalamus’s established governance, validation, and release processes and communicated to participating Programs as appropriate.

3. Participation Obligations

Programs shall:

      ·       Have at least one End User from the Program that will have access to Thally for Programs (each such End User, an “Authorized User”) complete any required training sessions prior to Program being granted access to Thally for Programs as part of this Research Preview;

      ·       Designate at least one Authorized User (PD or APD) who is responsible for configuring, reviewing, and periodically auditing Preference Profiles and Program Preference Alignment, including an audit or review for any unexpected patterns or demographic skews;

      ·       Configure Preference Profiles, whether questionnaire-based, historically-derived, or a combination, in accordance with all Applicable Laws (as defined below); and

      ·       Ensure that all Authorized Users understand that Program Preference Alignment is for informational purposes only and must not be used for any decision-making purposes or to determine which applicants receive human review.

Program expressly agrees NOT to configure preferences based on protected characteristics, including without limitation race, color, religion, sex, national origin, age, disability, pregnancy, genetic information, or any other characteristic protected by applicable law. A historically optimized baseline is derived from the Program’s own historical recruitment data and reflects the Program’s own prior selection patterns; it is provided solely as a configurable starting point and is not represented or warranted by Thalamus to be accurate or free of bias.

4. AI Terms

Thally for Programs includes AI Features that generate outputs (“AI Outputs”). AI Outputs generated through Programs use of Thally for Programs are made available to Programs purely for testing and evaluation of Thally for Programs. AI Outputs are not intended to, and must not, be used to in connection with a Program’s actual applicant interview, ranking, match, or other recruitment decisions for the ERAS 2027 application season. All such decisions must reflect a Program's independent review of the applicant's application, without use of Thally for Programs. The Program shall not represent to any applicant, or to any third party, that it has used Thally for Programs or any AI Outputs in connection with its interview, ranking, match, or other recruitment decisions for the ERAS 2027 application season, or its review of applicant data.

AI Outputs reflect the AI Features statistical interpretations of applicant data based on machine learning models trained on historical application data. AI Outputs are not determinations of fact, are not endorsements or assessments of any applicant's merit or suitability, and are not decisions made by Thalamus regarding interview invitations or Program admission. Due to the probabilistic nature of machine learning, AI Outputs may be inaccurate, incomplete, or may not accurately reflect an applicant's qualifications, interests, or intentions.

WITH RESPECT TO ANY PORTION OF THALLY FOR PROGRAMS USING AI FEATURES, THALAMUS DOES NOT GUARANTEE THE ACCURACY OF AND THALAMUS HEREBY DISCLAIMS ANY WARRANTY RELATING TO ANY OUTPUT GENERATED BY THE AI FEATURES. GIVEN THE PROBABILISTIC NATURE OF MACHINE LEARNING AND ARTIFICIAL INTELLIGENCE, USE OF THE AI FEATURES MAY IN SOME SITUATIONS RESULT IN INCORRECT OUTPUT THAT DOES NOT ACCURATELY REFLECT THE ACTION GENERATED. THEREFORE, YOU AGREE TO USE ANY OUTPUT FROM THE AI FEATURES AT YOUR OWN RISK.

5. Representations and Warranties

Program represents, covenants and warrants:

      ·       Program has completed review of its applications and sent out interview invitations for the ERAS 2027 application season prior to accessing Thally for Programs;

      ·       Program, and the individual accepting this Research Agreement on Program’s behalf, has full right, power, and authority to enter into this Research Agreement and to bind Program to its terms;

      ·       Program will use Thally for Programs for evaluation purposes only;

      ·       Program will not use Thally for Programs to review applicant data and materials for the purposes of any applicant interview, ranking, match, or other recruitment decision for the ERAS 2027 application season, to screen on protected characteristics, or for any other live or operational purposes. All decisions made by Program with respect to an applicant’s application reflect Program’s independent review of the applicant’s application, without the use of Thally for Programs, and Program is solely responsible for all such decisions;

      ·       Programs will not share Program Preference Profiles with applicants or third parties without Thalamus's written consent;

      ·       Program will, and will ensure all Authorized Users will, access and use Thally for Programs in compliance with all applicable laws and regulations, including without limitation data privacy laws, Title VI of the Civil Rights Act of 1964, Title VII of the Civil Rights Act of 1964, Section 504 of the Rehabilitation Act and the Americans with Disabilities Act, ACGME Common Program Requirements related to non-discriminatory selection, and any and all applicable federal, state, or local anti-discrimination laws (collectively, the “Applicable Laws”); and

      ·       Program will comply with the terms of this Agreement and any other obligations generally applicable to Programs in connection with their participation in the Thally for Programs Research Preview.

6. Use Restrictions

Program will not, and will not permit any End Users to:

      ·       Share, disclose, or disseminate Applicant data or Third-Party Data to any third parties; 

      ·       Use Applicant data or Third-Party Data for any purpose other than the evaluation and testing of Thally for Programs;

      ·       Access or use the Thally for Programs, or any Applicant data or Third-Party Data, to develop, improve, or enhance a product, tool or service competitive to Thalamus;

      ·      Copy, modify, create a derivative work of, reverse engineer, decompile or otherwise attempt to extract or export the source code of the Thally for Programs or any part thereof, including without limitation the scoring logic, model weights, or feature representations used by Thally for Programs, Program Preference, Assessments and Profiles, Program Preference Alignment, and Impact Analysis, unless this is expressly permitted or required by law; or

      ·       Use Applicant data, Third-Party Data, AI Features, or the Services, including without limitation Thally for Programs, to develop, fine-tune, or train foundation models or other large-scale models, for research, benchmarking, or for any competitive or commercial purposes, or in violation of Applicable Laws. 

7. Term, Termination, and Survival

This Research Agreement begins on the date Program is first granted access to Thally for Programs and continues for the duration of the Research Preview, which will end no later than the conclusion of the 2027 ERAS application season, unless earlier terminated as set forth below (the “Term”). Thalamus will use reasonable efforts to provide Programs with advance notice of the date on which the Research Preview, and Program’s access to Thally for Programs, will end.

Program may terminate this Research Agreement and withdraw from the Research Preview at any time, for any reason, by providing written notice to Thalamus at ai.collaboration@thalamusgme.com. Thalamus may terminate this Research Agreement, discontinue the Research Preview, or suspend, limit, or revoke a Program’s access to Thally for Programs, in its sole discretion, for any reason or no reason, at any time.

Upon any expiration or termination of this Research Agreement, or Program’s withdrawal from the Research Preview, Program’s right to access and use Thally for Programs will immediately cease. Termination of this Research Agreement will not affect Program’s access to other Services provided under a separate agreement, including without limitation Cortex. If Thally for Programs becomes generally available in future recruitment cycles, Program’s access to and use of Thally for Programs will be subject to Program’s acceptance of the terms and conditions under which Thalamus makes it available at that time.

The following provisions survive any expiration or termination of this Research Agreement: the AI Terms, Representations and Warranties, and Use Restrictions sections, and any provisions relating to Content and Feedback, confidentiality, intellectual property, disclaimers of warranties, limitations of liability, and indemnification, together with any other provision that by its nature should survive. For clarity, nothing in this section limits any provision of the Terms of Service that survives under its own terms.
